Contracts Do’s and Don’ts

Nonprofits commonly enter into agreements with sponsors, vendors, and even fellow nonprofits. Most of the time everything goes off without a hitch. However, do you know how to protect your nonprofit in the event that something doesn't go as planned?

 

During this workshop, our speakers will help nonprofits understand:

•     Why have a formal written agreement?

•     What should be included in a contract?

•     How can a contract be terminated?

•     What is an indemnification clause?

•     How can nonprofits establish a contracting process?

Speakers: Linda Seal and Stacey Keegan, The Home Depot

 

Biographies:

Linda Seal is Associate General Counsel for The Home Depot (NYSE: HD) and Vice President - Legal & Secretary for Interline Brands, Inc., a subsidiary of The Home Depot.  As the world’s largest home improvement specialty retailer, The Home Depot operates 2,276 retail stores in all 50 states, the District of Columbia, Puerto Rico, U.S. Virgin Islands, Guam, 10 Canadian provinces and Mexico. In fiscal 2016, The Home Depot had sales of $94.6 billion. Interline Brands, Inc. is a leading national distributor and direct marketer of broad-line maintenance, repair and operations products. Linda’s dual role within The Home Depot enterprise affords her the unique ability to serve as a member of the executive team for Interline Brands, Inc. and as a member of The Home Depot’s Legal Senior Leadership Team. Since The Home Depot’s acquisition of Interline Brands, Inc., Linda manages all aspects of the legal function for this subsidiary and she serves as the principal legal advisor to its management in all operational and administrative areas.

Stacey Keegan serves as Chief Privacy Officer and Assistant General Counsel for The Home Depot.  In this role, she leads the multinational retailer’s Privacy Program and provides advice and counsel on enterprise-wide privacy and information security matters, including online and offline marketing and operational privacy practices involving consumer and employee data. Stacey regularly works with business and legal partners to identify and manage privacy and information security risks across the enterprise.  She advises on compliance with privacy and data security laws, regulations, and industry best practices; develops and maintains policies and procedures related to the collection, use, sharing, and disposal of personal information; and directs the development and delivery of privacy awareness and training programs.  Prior to joining The Home Depot, Stacey was Associate General Counsel for Interactive Communications International, Inc., the industry leading marketer, distributor, and technology innovator of stored-value gift and prepaid products.  Stacey received her Juris Doctorate from the Emory University School of Law, her Bachelor of Arts degree from Florida International University, and is a Certified Information Privacy Professional (CIPP/US, CIPP/C) and Certified Information Privacy Manager (CIPM).
